Description:

We are seeking a highly organized and detail-oriented Corporate Secretary to join our team. The Corporate Secretary will play a critical role in ensuring that our corporate governance practices are in compliance with legal and regulatory requirements. The ideal candidate will have excellent communication skills, strong attention to detail, and the ability to work effectively with senior management and the board of directors.

Responsibilities:

  • Organize and coordinate board meetings, including preparing agendas, distributing meeting materials, and scheduling meetings
  • Record accurate and detailed minutes of board meetings and maintain official corporate records
  • Preparing resolutions for the Board of Directors and other governing bodies of the Company and monitoring their implementation
  • Ensure compliance with corporate governance regulations and filing necessary documents with government authorities
  • Improvement of management efficiency, enhancement of investment attractiveness and achievement of capitalisation growth
  • Serve as a liaison between the board of directors, management, and shareholders, communicating important information and decisions effectively
  • Provide guidance and support to the board and management on corporate secretarial matters, including corporate structure, bylaws, and corporate policies
  • Manage communications with shareholders, including handling inquiries, proxy voting, and shareholder meetings
  • Assist with risk management activities, including compliance with legal and regulatory requirements and implementing internal controls
  • Advise the board of directors on matters of corporate governance and best practices, including board composition, structure, and responsibilities

Requirements:

  • Bachelor's degree in Law, Business Administration, or a related discipline
  • Minimum of 5 years of experience as a Corporate Secretary or similar role
  • Excellent organizational and time management skills
  • Exceptional communication skills, both written and verbal
  • Ability to work effectively under pressure and meet deadlines
  • Strong understanding of corporate governance principles and regulations
  • Exemplary documentation, record keeping, and organizational capabilities
  • Meticulous attention to detail and commitment to accuracy
  • Ability to thrive in a fast-paced, multifaceted environment
